These terms describe the basic rules for using the eBbizz platform by businesses, suppliers, and partners.

Welcome to eBbizz.
These Terms of Use ("Terms") govern access to and use of the eBbizz platform, including its website, mobile applications, software services, administration interfaces, content management tools, ordering system, search functionality, analytics, notifications, APIs, and any related digital services made available by eBbizz.
eBbizz is a Business-to-Business (B2B) marketplace designed to facilitate commercial interactions between businesses by providing a secure digital environment for discovering suppliers, managing business profiles, browsing products, submitting orders, and maintaining ongoing commercial relationships.
These Terms constitute a legally binding agreement between eBbizz and every user accessing or using the Platform.
By registering an account, accessing, browsing or using the Platform, you confirm that you have read, understood and accepted these Terms in their entirety.
If you do not agree with these Terms, you must immediately discontinue use of the Platform.
For the purposes of these Terms, the following definitions apply:
eBbizz means the operator of the B2B digital marketplace and all related online services.
Platform means the eBbizz website, mobile applications, software, APIs, databases, administrative interfaces, CMS, dashboards, search services, and associated infrastructure.
Customer means a registered business using the Platform to discover suppliers, browse products and submit purchase orders.
Supplier means a registered business offering products or business information through the Platform.
Dual Role means a business account operating simultaneously as both Customer and Supplier.
User means any individual accessing the Platform on behalf of a business entity.
Account means the registered business profile and authentication credentials used to access the Platform.
Approved Supplier means a Supplier whose approval status has been designated as approved = true by eBbizz.
Order means a purchase request submitted through the Platform.
Reorder means the functionality allowing a Customer to recreate a previous order using historical information while requiring new commercial confirmation.
By accessing or using the Platform, each User represents and warrants that:
Electronic acceptance of these Terms has the same legal effect as a handwritten signature to the extent permitted by applicable law.
eBbizz operates exclusively as a technology platform facilitating business-to-business interactions.
The Platform provides digital tools including, but not limited to:
Unless expressly agreed otherwise in writing, eBbizz is not a seller, distributor, importer, exporter, reseller, manufacturer or commercial representative of products offered by Suppliers.
Commercial contracts are entered into directly between Customers and Suppliers.
Certain Platform features require the creation of a registered Account.
Users agree to:
Users remain fully responsible for all activities performed under their Accounts.
eBbizz may request additional verification information where reasonably necessary for compliance, fraud prevention or Platform security.
The Platform supports three business roles.
Customers may:
Suppliers may:
Businesses operating under Dual Role may simultaneously use Customer and Supplier functionality while remaining subject to all obligations applicable to each role.
Supplier information becomes publicly visible only after the Supplier has been approved by eBbizz.
Public visibility requires:
approved = true
Approval decisions are made at eBbizz's sole discretion based on internal review procedures and may be withdrawn, suspended or reconsidered at any time.
Approval does not constitute:
Customers remain responsible for conducting their own commercial due diligence before entering into business transactions.
The Platform enables Customers to submit purchase requests directly to Suppliers.
Submission of an Order does not automatically create a legally binding sales agreement.
Each Supplier remains solely responsible for deciding whether to:
eBbizz merely facilitates communication and order transmission between businesses.
Unless expressly stated otherwise, eBbizz is not a contracting party to any commercial transaction concluded between Customers and Suppliers and assumes no responsibility for the performance of obligations arising from such transactions.
The Platform provides a Reorder feature designed to simplify recurring business purchases between Customers and Suppliers.
The Reorder functionality allows a Customer to generate a new Order using information from a previously completed Order, reducing administrative effort while maintaining commercial flexibility.
Depending on the information available, a Reorder may retain:
The Reorder feature is provided solely for convenience and efficiency.
A Reorder does not constitute an automatic renewal of any previous commercial agreement, quotation, purchase contract or supply arrangement.
Before submitting any Reorder, the Customer is solely responsible for confirming with the Supplier:
Historical information presented through the Reorder functionality may no longer reflect current commercial conditions.
eBbizz does not guarantee that any information retained from previous Orders remains accurate or commercially valid.
All pricing information displayed through the Platform is determined exclusively by each Supplier.
Suppliers remain solely responsible for:
eBbizz does not verify, approve or guarantee the accuracy of pricing information published by Suppliers.
Displayed prices may change without prior notice unless otherwise agreed directly between the Customer and Supplier.
The publication of products or prices on the Platform does not constitute a legally binding offer by eBbizz.
Unless expressly stated otherwise in a separate written agreement, eBbizz does not process, collect, hold or distribute payments between Customers and Suppliers.
Payment arrangements, including:
remain exclusively between the contracting businesses.
Each party is responsible for complying with applicable accounting, tax and financial reporting obligations.
Users agree to use the Platform responsibly, professionally and lawfully.

eBbizz may implement technical safeguards to detect, prevent and investigate misuse.
Suppliers are solely responsible for all product-related information published through the Platform.
This includes, without limitation:
Although eBbizz may perform reasonable administrative moderation, it does not independently verify the completeness, legality or technical accuracy of Supplier content.
Users should independently evaluate product suitability before entering into commercial transactions.
The Platform, including its software, architecture, databases, user interface, source code, graphics, documentation, search technology, design elements, trademarks, service marks and proprietary content, is protected by applicable intellectual property laws.
Unless expressly permitted by law or by prior written authorization from eBbizz, Users shall not:
Nothing contained in these Terms transfers ownership of intellectual property rights to Users.
Users retain ownership of the content they submit to the Platform.
By uploading or publishing content, Users grant eBbizz a worldwide, non-exclusive, royalty-free license, limited to the operation of the Platform, to:
Users represent and warrant that they possess all necessary rights to publish such content and that it does not violate applicable laws or third-party rights.
eBbizz reserves the right to remove or restrict access to User Content where reasonably necessary to comply with legal obligations, protect Platform integrity or enforce these Terms.
eBbizz aims to provide reliable and continuous Platform availability.
However, uninterrupted availability cannot be guaranteed.
The Platform may be temporarily unavailable due to:
eBbizz may modify, suspend or discontinue specific features where reasonably necessary for technical, operational, security or legal reasons.
eBbizz implements appropriate technical and organizational measures designed to protect the confidentiality, integrity and availability of its systems and the information processed through the Platform.

Users also play a critical role in maintaining Platform security and must promptly report suspected security incidents, unauthorized access or compromised credentials.
eBbizz reserves the right to suspend, restrict or permanently disable access to the Platform where it reasonably determines that such action is necessary, including where:
Where reasonably practicable and where doing so would not compromise legal obligations, fraud prevention or Platform security, eBbizz may notify the affected User before or promptly after taking such action.
Suspension of an Account does not affect obligations that arose before the suspension became effective.
Users may discontinue their use of the Platform at any time and may request closure of their Account in accordance with the applicable account management procedures.
eBbizz may terminate or permanently deactivate an Account where, among other things:
Following termination, eBbizz may retain certain information where retention is required or permitted for purposes including:
Termination of an Account does not automatically affect rights or obligations that accrued before termination.
To the fullest extent permitted by applicable law, eBbizz shall not be liable for:
eBbizz acts solely as the operator of a digital B2B marketplace.
Except where liability cannot lawfully be excluded or limited, the total aggregate liability of eBbizz arising out of or relating to the use of the Platform shall be limited to the maximum extent permitted under applicable law.
Nothing in these Terms excludes liability for matters that cannot legally be excluded under mandatory legislation.
Users agree to indemnify, defend and hold harmless eBbizz, its directors, officers, employees, contractors, affiliates and representatives against any claims, liabilities, damages, costs or expenses (including reasonable legal fees) arising from or relating to:
This obligation survives termination of the User's relationship with eBbizz to the extent permitted by applicable law.
eBbizz shall not be responsible for delays, interruptions or failures resulting from circumstances beyond its reasonable control, including but not limited to:
Where reasonably possible, eBbizz will make commercially reasonable efforts to restore affected services as soon as practicable.
Users consent to receiving communications from eBbizz electronically where permitted by applicable law.

Users are responsible for maintaining valid contact details and ensuring that communications from eBbizz can be received.
Electronic communications shall satisfy any legal requirement that communications be made in writing where permitted under applicable law.
eBbizz may update these Terms from time to time in order to reflect:
Updated Terms become effective upon publication unless a different effective date is expressly specified.
Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
Where legally required, Users will receive advance notice of material changes.
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Cyprus.

Before commencing formal legal proceedings, the parties are encouraged to attempt to resolve disputes through good-faith negotiations.
Subject to any mandatory legal provisions providing otherwise, the courts of the Republic of Cyprus shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the use of the Platform.
Questions concerning these Terms or the operation of the Platform may be submitted using the official contact details published by eBbizz on its website or within the Platform.
Users are encouraged to provide sufficient information to enable efficient handling of their enquiry.
If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.
Failure by eBbizz to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
These Terms constitute the entire agreement between eBbizz and its Users regarding access to and use of the Platform and supersede all prior understandings relating to the same subject matter, unless expressly agreed otherwise in writing.
Section headings are included solely for convenience and shall not affect the interpretation of these Terms.
These Terms have been specifically drafted for the eBbizz B2B Marketplace and apply to all Platform services, including the website, mobile applications, authentication services, search functionality, company profiles, supplier profiles, customer profiles, product catalogues, Product IDs, product images, categories, shopping cart, orders, Reorder functionality, notifications, analytics, content management system (CMS), administrative dashboard, APIs and any additional digital services that form part of the eBbizz ecosystem.
By continuing to access or use the Platform, each User confirms ongoing acceptance of these Terms and agrees to comply with all applicable legal and contractual obligations throughout their use of eBbizz.
